What this is

A private limited company is a separate legal person. It can own property, sue and be sued, and continue to exist when the founders change. Its members' liability is limited to the amount unpaid on their shares, so personal assets are not exposed to business debts.

It is the structure almost every institutional investor requires, because equity can be issued, transferred and diluted cleanly. That certainty is also the trade-off: a company files more with the Registrar of Companies than any other structure, and those filings are not optional.

Incorporation runs through the MCA V3 portal on the integrated SPICe+ form, which bundles name reservation, incorporation, PAN, TAN, and EPFO/ESIC registration into a single application signed with a Class-3 digital signature.

Who can apply

Minimum two directors and two shareholders (the same two people may hold both roles). At least one director must be resident in India — that is, present in India for at least 182 days in the previous financial year. Maximum 200 shareholders.

There is no minimum paid-up capital requirement. A registered office address in India is required at the time of incorporation, and it may be a residential address.

A foreign national or a foreign company may hold shares, subject to the FDI rules for the sector concerned.

What happens if you do not do this

Failing to file the annual return (MGT-7) or financial statements (AOC-4) attracts a late fee of ₹100 per form per day with no upper ceiling — a filing a year late costs about ₹36,500 per form.

A director who fails to file DIR-3 KYC has their DIN deactivated. A director of a company that has not filed financial statements or annual returns for three consecutive years is disqualified for five years and cannot be appointed to any company.

Prolonged non-filing leads the Registrar to strike the company off the register.

What comes after

From incorporation onward the company must appoint an auditor within 30 days, hold at least four board meetings a year, hold an AGM, maintain statutory registers, and file AOC-4 and MGT-7 annually. Directors file DIR-3 KYC each year.

Questions people actually ask

How long does registration actually take?

Ten to fifteen working days in a normal case. The variable is not our work — it is name approval and ROC processing. A rejected name adds three to five days, which is why we file two options and check availability against the MCA master data before filing.

Is there a minimum capital requirement?

No. The minimum paid-up capital requirement was removed in 2015. You can incorporate with any amount; ₹1,00,000 authorised capital is a common and inexpensive choice. Higher authorised capital increases the government fee, so there is a real cost to over-stating it.

Can I register at my home address?

Yes. A residential address is a valid registered office. You will need a recent utility bill for the premises and a no-objection certificate from the owner — including where the owner is a family member.

Do all directors need to be in India?

At least one director must be resident in India. The others may be foreign nationals, who will need an apostilled or consularised passport and address proof.

What is the difference between authorised and paid-up capital?

Authorised capital is the ceiling on what the company may issue; paid-up capital is what shareholders have actually paid in. You pay government fee on the authorised amount, so there is no benefit in setting it far above what you need.

Can I convert a proprietorship into a private limited company later?

Yes, and it is common. It is a separate process involving transfer of assets and liabilities, and it is materially more expensive than incorporating correctly at the start. If you expect to raise investment, start here.

What is a DSC and why does each director need one?

A Class-3 Digital Signature Certificate is a cryptographic signing token issued by a licensed certifying authority. Every MCA filing must be signed with one. It is valid for two or three years and is used for all subsequent filings, not just incorporation.

What happens if the ROC raises an objection?

The Registrar may mark the form for resubmission with specific defects. We correct and resubmit within the window at no extra professional fee. Resubmission typically adds five to seven days.
