The same late-filing regime as a private limited company applies: ₹100 per day per form for AOC-4 and MGT-7, with no ceiling, and DIN deactivation for missed DIR-3 KYC.
An OPC must appoint an auditor, file AOC-4 and MGT-7 annually, and file DIR-3 KYC. It does not need to hold an AGM. Where paid-up capital exceeds ₹50 lakh or average annual turnover exceeds ₹2 crore, conversion into a private or public limited company becomes mandatory.

Yes. Naming a nominee is a statutory requirement, and their written consent in Form INC-3 is part of the incorporation filing. The nominee has no rights in the company while you are alive and capable.
